Terms of Service.
These terms align with commercial catalog 2 / entitlement catalog 2. These are the production terms for DPPLogic.
The parties
These terms are offered by Ryan Jarvis trading as DPPLogic (“DPPLogic”, “we”, “us”), an individual trading as DPPLogic.

The service is offered to businesses and organisations only. Signup and paid checkout require: “I am purchasing/using DPPLogic for business or professional purposes.” If you are a consumer, do not purchase a paid plan.
The service
DPPLogic provides software tools for Digital Product Passport preparation: organisation workspaces, product and evidence records, supplier collection, human review workflows, and customer-controlled publication of intended public fields.
DPPLogic does not certify compliance, provide legal advice, guarantee that a passport is legally sufficient, treat QR generation as compliance, automatically verify supplier evidence, or treat AI suggestions as verification. legalCompliance is false.
Accounts and authorised users
You must provide an accurate work email and keep it current.
You are responsible for authorised users you invite, including their roles and grants.
You must not share login credentials.
A last organisation owner must transfer ownership before deleting that owner account.
Acceptable use
Use the service only for lawful business preparation of product-passport and related evidence work.
Do not upload unlawful, infringing or deceptive content, or content you have no right to process or publish.
Do not attempt to bypass tenant isolation, role checks, billing gates or security controls.
Do not claim that DPPLogic certified, approved or legally validated a product.
Plans, billing, tax and refunds
Plans: Free, Professional, Business, and Enterprise (Enterprise is contractual, not self-serve). Commercial catalog version 2. Entitlement catalog version 2.
Self-serve paid currencies are GBP, EUR and USD as separate price books. There is no foreign-exchange conversion promise.
There is no trial in V1. There are no usage overages in V1; an upgrade is required if a limit is reached.
Paid subscriptions renew at the selected interval until cancelled.
Downgrades take effect at period end. Customer-initiated cancellation takes effect at period end. Paid features remain available until that period ends.
If a renewal payment fails, a 14-day grace period applies before paid entitlements are suspended for non-payment.
Cancellation does not automatically delete organisation data.
Paid pricing is not published. Billing is OFF and Stripe activation is deferred. Free access does not start a trial or grant a paid plan.
Prices are shown in the stated currency and exclude taxes, duties or similar charges unless expressly stated otherwise. Where DPPLogic is legally required to collect an applicable tax, that amount may be added to the charge. DPPLogic is not VAT registered and has no VAT number. Stripe Tax is not enabled. Tax collection requires review before any live charging is enabled.
Fees are non-refundable except where required by applicable law or expressly agreed otherwise by DPPLogic. No automatic refunds, pro-rata refunds or service credits are promised unless separately agreed.
Suspension and termination
We may suspend access for non-payment after the 14-day grace, for acceptable-use breach, or for security risk.
You may cancel at period end from the billing controls when billing is live, or by emailing support@dpplogic.com.
After cancellation, organisation data is not automatically deleted. You may export existing product, evidence, finding, task and supplier data from the workspace export. Audit and passport packs may require a paid plan.
Organisation deletion is not fully self-service. Email support@dpplogic.com. Document deletion is a separate in-product action.
Customer content and responsibilities
You retain ownership of customer data you submit. Suppliers retain any rights they have in supplier-submitted content, subject to the rights they grant you and the licence below.
You grant DPPLogic a non-exclusive licence to host, copy, process, display and transmit customer and supplier content solely to operate, secure and support the service, including publishing the public fields you choose to publish. This is not an assignment of ownership.
You must have the rights needed for content and data you upload, provide or publish. You must use DPPLogic lawfully. You remain responsible for decisions to publish product information.
Feedback you send may be used to improve the service without obligation.
DPPLogic retains all rights in the software, branding, templates, catalogs and documentation.
Generated reports and passport records are your records created with the software. They are not a certification.
Public passport publication
Publication is customer-controlled. Only intended public fields are exposed. Private documents and internal evidence are not automatically public. Publication may create publicly accessible product information. DPPLogic does not legally certify a published passport.
Third-party services
Production services include Fly.io for application hosting, Resend for authentication challenge email when enabled, and Google Workspace for support. Stripe activation is deferred. Supplier links are shared manually; supplier, member-invitation, billing and marketing email are OFF. OpenAI is not an active customer-data processor. Activating production AI requires a separate legal and subprocessor review.
AI and OCR
Production Evidence AI is OFF. Customer data is not currently sent to OpenAI.
If an optional AI feature is later activated, suggestions are unverified, are not legal advice, and require human review.
OCR, when authorised, is a processing aid, not verification, certification or regulatory validation. Human review remains required. OCR, when present, is a processing aid and is not verification.
Availability and support
We may change, suspend or discontinue features with reasonable notice where practicable.
support@dpplogic.com is monitored. There is no contractual response-time or uptime SLA unless a separate Enterprise agreement says otherwise.
Warranties
The service is provided with reasonable skill and care. Except as required by law, we do not warrant uninterrupted or error-free operation, or that outputs will meet a regulatory or customer-imposed requirement.
Liability
Subject to the next paragraph, DPPLogic’s aggregate contractual liability arising out of or in connection with the service is limited to the fees paid or payable by the customer to DPPLogic during the 12 months immediately preceding the event giving rise to the claim.
Where legally permitted, indirect and consequential losses are excluded. Nothing limits or excludes liability that applicable law does not permit to be limited or excluded, including fraud and death or personal injury caused by negligence.
This structure is a commercial allocation of risk. It is not stated to be guaranteed enforceable under BVI law.
Reliance on regulatory outputs, passport sufficiency or supplier-evidence verification remains outside the service warranty.
No broad indemnity
V1 does not include a customer indemnity, a DPPLogic IP indemnity or a mutual indemnity. The customer responsibilities in the content section remain.
Confidentiality
Each party must keep the other’s non-public information confidential and use it only to perform these terms, except for information that is public, independently developed, or required to be disclosed by law. Published passport fields are public by design.
Data processing
Where Ryan Jarvis trading as DPPLogic processes personal data as a processor, the Data Processing Agreement at /dpa/ applies and must be in place before paid customer processor use.
Governing law, notices and changes
These terms are governed by the laws of the British Virgin Islands (Virgin Islands). This is a contract-law choice. It does not determine tax, privacy, licensing or product-regulatory duties that may apply because of where a customer or data subject is located.
The courts of the British Virgin Islands have non-exclusive jurisdiction. Exclusive jurisdiction is not asserted. A party may seek interim relief in another court of competent jurisdiction.

Material changes to these terms will be posted on this page, with 30 days’ notice where reasonably practicable. Minor, technical, legal-compliance, security or non-material corrections may be made without that full period. Core paid obligations are not altered retrospectively by a silent correction.
Enterprise customers may have a separate signed agreement that prevails over these self-serve terms.
